Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the services provided by Craftr London Ltd, trading as Repayd (“Repayd”, “we”, “us” or “our”). By creating an account, accessing our APIs, or otherwise using our services, you agree to be bound by these Terms. If you do not agree, you must not use the services.
1. The service
Repayd provides software and tooling that help developers integrate third-party payment service providers (each a “PSP”) — such as Mollie, Stripe and Shopify — into their own applications through a single, unified interface. We provide the integration layer; we are not a payment processor, money transmitter, or financial institution, and we do not hold, transmit, or take custody of funds.
All payment processing is performed by the relevant PSP under its own agreement with you. Your use of any PSP is subject to that PSP’s own terms, pricing and policies, and you are responsible for entering into and complying with those agreements directly.
2. Eligibility and accounts
You must be at least 18 years old and able to form a legally binding contract to use the services. If you use the services on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.
You are responsible for safeguarding your account credentials and API keys, and for all activity that occurs under your account. You must notify us promptly of any unauthorised use.
3. Fees
Our service is provided in exchange for a fee charged on a per-transaction basis. This fee is dynamic and may vary depending on factors such as transaction value, volume, the PSP used, and the integration features you rely on. The applicable fee will be made available to you before you incur it.
Fees charged by Repayd are separate from, and in addition to, any fees charged by your chosen PSP. All fees are exclusive of taxes unless stated otherwise; you are responsible for any applicable taxes. We may update our fees from time to time, and continued use of the services after a change takes effect constitutes acceptance of the updated fees.
4. Acceptable use
You agree not to:
- use the services for any unlawful, fraudulent, or deceptive purpose;
- attempt to gain unauthorised access to the services, related systems, or other users’ data;
- reverse engineer, resell, or sublicense the services except as expressly permitted;
- interfere with or disrupt the integrity or performance of the services, or circumvent any rate limits or usage controls;
- violate the terms, policies, or applicable laws governing any PSP or payment network.
5. Third-party providers
The services depend on, and interoperate with, third-party PSPs and other providers that we do not control. We are not responsible for the availability, accuracy, security, pricing, or conduct of any third-party provider, nor for any decision a PSP makes regarding your account, payouts, or transactions. Your relationship with each PSP is solely between you and that PSP.
6. Intellectual property
We retain all right, title, and interest in and to the services, including our software, APIs, documentation, and trademarks. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the services for your internal business purposes. You retain all rights to your own applications and data.
7. Disclaimers
The services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will be uninterrupted, error-free, or secure, or that they will meet your requirements.
8. Limitation of liability
To the maximum extent permitted by law, Repayd will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising out of or relating to your use of the services. Our total aggregate liability arising out of or relating to these Terms will not exceed the total fees you paid to us in the three (3) months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
9. Indemnification
You agree to indemnify and hold harmless Repayd and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the services, your violation of these Terms, or your violation of any applicable law or third-party rights, including any PSP’s terms.
10. Term and termination
These Terms remain in effect while you use the services. You may stop using the services at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if continued provision of the services becomes impractical. Provisions that by their nature should survive termination — including fees owed, intellectual property, disclaimers, limitation of liability, and indemnification — will survive.
11. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use of the services after the changes take effect constitutes acceptance of the revised Terms.
12. Governing law
These Terms are governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
